1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Aiydyn (“Company,” “we,” “us,” or “our”) regarding your access to and use of our website, mobile application, and all associated services (collectively, the “Services”).

By accessing, browsing, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Services. Your continued use of the Services constitutes acceptance of these Terms and any modifications we make to them.

These Terms apply to all users, including but not limited to buyers, sellers, and visitors. Additional policies referenced herein, including our Privacy Policy, Return and Refund Policy, Prohibited Items Policy, and Seller Agreement, are incorporated by reference and form part of these Terms.

2. ELIGIBILITY AND ACCOUNT REQUIREMENTS

2.1 Age Requirements

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

If you are between 13 and 18 years of age, you may only use the Services with the express written consent of a parent or legal guardian. Parents or guardians who provide consent accept full responsibility for their minor’s use of the Services and agree to be bound by these Terms on behalf of the minor.

Users under 13 years of age are strictly prohibited from creating accounts, purchasing products, or submitting any information to the Services.

Aiydyn is not liable for any loss or damage resulting from unauthorized access to your Account. If you believe your Account has been compromised, contact us immediately.

3. USE OF SERVICES

3.1 Permitted Use

You agree to use the Services only for lawful purposes and in ways that do not infringe upon the rights of others or restrict and inhibit the use and enjoyment of the Services by any third party. Prohibited behavior includes:

Harassing, threatening, abusing, or otherwise disrespecting other users
Posting or transmitting obscene, vulgar, hateful, or defamatory content
Engaging in fraud, misrepresentation, or deception
Interfering with or disrupting the integrity or performance of the Services
Attempting to gain unauthorized access to the Services or related systems
Violating any applicable laws, regulations, or these Terms
Infringing on intellectual property rights of others

3.2 Prohibited Activities

You shall not:

Use the Services for any illegal, fraudulent, or harmful purpose
Reverse engineer, disassemble, or otherwise attempt to derive the source code of the Services
Reproduce, distribute, publicly display, or transmit any content from the Services without authorization
Remove or alter any proprietary notices, labels, or marks on the Services

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Company Ownership

All content on the Aiydyn platform, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, and data compilations (“Company Content”), is the exclusive property of Aiydyn or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Company Content for personal, non-commercial purposes only. You may not modify, reproduce, distribute, display, or transmit the Company Content without prior written consent.

4.2 Trademarks

Aiydyn name, logo, and all associated trademarks are registered trademarks of Aiydyn. You may not use our trademarks without express written permission. All other trademarks, service marks, and logos appearing on the Services are the property of their respective owners.

4.3 User-Generated Content

Sellers retain ownership of product descriptions, photographs, and other content (“Seller Content”) they upload to the Services. However, by uploading Seller Content, you grant Aiydyn a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your Seller Content for the purpose of operating the marketplace and promoting your products.

You represent and warrant that:

You own or have obtained all necessary rights to the Seller Content
The Seller Content does not infringe on any third-party intellectual property rights
The Seller Content complies with all applicable laws and regulations
You have obtained all necessary consents, including from individuals pictured in photos

4.4 Third-Party Content

Aiydyn is not responsible for any third-party content displayed on the Services, including but not limited to product reviews, seller descriptions, or user comments. While we strive to remove infringing content upon notification, we do not verify the accuracy or legality of all third-party content.

5. PROHIBITED ITEMS AND PRODUCTS

5.1 General Prohibited Items

The following categories of items are strictly prohibited from being listed, sold, or transferred on Aiydyn:

5.1.1 Drugs, Alcohol, and Controlled Substances

Illegal drugs and controlled substances
Prescription medications without proper FDA authorization
Alcohol and tobacco products
Drug paraphernalia or items designed for drug consumption
Items making claims to treat, cure, mitigate, prevent, or diagnose diseases

5.1.2 Medical Claims and Devices

Products claiming to diagnose, treat, cure, mitigate, prevent, or manage medical conditions
FDA-regulated medical devices requiring prescription or pre-approval
Items marketed as drugs or medical treatments
Products containing ingredients restricted for cosmetic use

5.1.3 Recalled and Unsafe Products

Items subject to government or manufacturer recalls
Products that pose health, safety, or environmental hazards
Items with defective or dangerous components
Products failing to meet applicable safety standards

5.1.4 Intellectual Property Violations

Counterfeit or fake branded products
Items infringing on patents, copyrights, or trademarks
Pirated or unauthorized reproductions of protected works
Products falsely claiming to be authorized or official goods

5.1.5 Dangerous Materials and Weapons

Explosives, flammable materials, or hazardous chemicals
Firearms, ammunition, or weapon components
Items designed to cause harm or violence
Biological or radioactive materials

5.1.6 Stolen Property and Illegal Items

Stolen goods or property of questionable provenance
Items obtained through illegal means
Government-issued documents or identification
Currency, coins, or legal tender (except collectibles)

5.1.7 Adult Content and Explicit Materials

Sexually explicit or pornographic content
Items designed primarily for adult entertainment
Services of a sexual nature

5.1.8 Animal Products and Endangered Species

Products made from endangered species (e.g., ivory, fur, whale bone)
Items violating CITES (Convention on International Trade in Endangered Species)
Products derived from protected or threatened species

5.1.9 Human Remains and Body Parts

Human organs, tissue, blood, or other body materials
Human remains or skeletal materials
Products containing human biological materials without proper consent and certification

5.1.10 Mislabeled or Misrepresented Products

Items falsely labeled as “organic,” “natural,” or “certified”
Products with inaccurate ingredient lists
Items claiming certifications not actually held
Products with expired or tampered dates

5.2 Products Requiring Pre-Approval

The following product categories are allowed on Aiydyn only after receiving explicit written approval from the Company:

Products claiming to be “USDA Organic Certified” (proof of certification required)
Products containing essential oils or volatile compounds
Products marketed for sensitive skin or medical conditions
Items containing allergens not clearly disclosed
Products intended for use by pregnant women or nursing mothers
Cosmetics containing color additives (must provide FDA certification)

5.3 Sellers’ Responsibility for Compliance

Sellers are solely responsible for ensuring all products comply with these prohibitions and all applicable laws. Aiydyn reserves the right to:

Remove listings without notice if we determine they violate these policies
Suspend or terminate seller accounts for policy violations
Report violations to appropriate regulatory authorities
Cooperate with law enforcement investigations

Continued violations may result in permanent bans from the platform.

6. PRODUCT LIABILITY AND DISCLAIMERS

6.1 General Product Disclaimer

The natural and organic skin and hair products sold on Aiydyn are cosmetic products as defined by the FDA. These products are NOT intended to diagnose, treat, cure, mitigate, prevent, or manage any disease or medical condition.

Products sold on this platform have not been evaluated by the Food and Drug Administration (FDA). Results and effectiveness claims are not endorsed or verified by Aiydyn. Individual results vary significantly and are not guaranteed.

6.2 Safety and Allergy Disclaimers

ALLERGY AND SENSITIVITY WARNING:

Natural and organic products may contain ingredients that can cause allergic reactions, skin irritation, or sensitivity in susceptible individuals, even though they are derived from natural sources. The fact that an ingredient is “natural” or “organic” does not guarantee it is safe for all users.

We strongly recommend that all customers:

Read all ingredient lists carefully before purchasing
Perform a patch test on a small area of skin 24 hours before full application
Discontinue use immediately if any adverse reaction occurs, including redness, itching, burning, swelling, or rash

Aiydyn and individual sellers are NOT liable for any allergic reactions, skin irritation, or adverse effects resulting from product use. By purchasing products on this platform, you assume full responsibility for determining product suitability for your skin type and known allergies.

6.3 Skin Condition Warnings

Products marketed for specific skin conditions (acne, eczema, psoriasis, rosacea, etc.) are offered as cosmetic solutions, not medical treatments. If you have a diagnosed dermatological condition, consult a healthcare provider before using such products. Do not use our products as a substitute for professional medical treatment.

6.4 Pregnancy and Nursing Warnings

Certain ingredients in natural and organic products may not be appropriate during pregnancy or while nursing. If you are pregnant, planning to become pregnant, or nursing, review all ingredients with your healthcare provider before use. Products containing essential oils, retinoids, salicylic acid, or other active ingredients require particular caution.

6.5 Children and Eye Safety

KEEP ALL PRODUCTS AWAY FROM CHILDREN. All products are intended for adult use only unless specifically labeled and approved for children.

DO NOT apply to the eye area unless the product is specifically formulated and labeled for eye use. Products not formulated for eye contact may cause irritation or injury.

6.6 Manufacturer’s Responsibility

Each seller (manufacturer, distributor, or reseller) is solely responsible for:

The safety and quality of their products
Accurate ingredient disclosure and labeling
Compliance with FDA regulations and state/local requirements
Product testing for stability, contamination, and safety
Proper preservation and antimicrobial formulation of natural products
Adhering to all claims substantiation requirements
Maintaining proof of organic or natural certifications
Proper storage and handling procedures
Customer education on safe use

6.7 Disclaimer of Seller-Specific Representations

Aiydyn does not:

Verify the accuracy of seller claims or product descriptions
Test or certify products for safety or efficacy
Guarantee that organic-labeled products meet USDA organic standards
Endorse individual sellers’ quality control practices
Verify that certifications claimed by sellers are valid or current
Guarantee consistency between product batches
Verify shelf life or expiration dating

7. LIABILITY LIMITATIONS AND DISCLAIMERS

7.1 AS-IS and AS-AVAILABLE BASIS

The Services, including all content, products, and functionality, are provided on an “AS-IS” and “AS-AVAILABLE” basis. Aiydyn makes no representations or warranties of any kind, express or implied, regarding:

The accuracy, completeness, or reliability of any content or product information
The quality, safety, or suitability of products for any particular purpose
That the Services will be uninterrupted, secure, or error-free
That defects will be corrected or that the Services are free of viruses or harmful components

7.2 DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, Aiydyn disclaims all warranties, express and implied, including but not limited to:

Warranties of merchantability
Warranties of fitness for a particular purpose
Warranties of non-infringement
Warranties regarding product safety, quality, or efficacy
Any warranty that products will meet your expectations or requirements

7.3 LIMITATION OF LIABILITY

IN NO EVENT SHALL AIYDYN BE LIABLE FOR:

Any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Services
Loss of profits, revenue, data, or business opportunities
Damages resulting from product defects, allergic reactions, or adverse health effects
Personal injury or physical harm
Property damage
Emotional distress or psychological harm
Loss of enjoyment or diminished value of products

Even if Aiydyn has been advised of the possibility of such damages.

7.4 CAP ON LIABILITY

To the fullest extent permitted by applicable law, Aiydyn’s total aggregate liability to you for all claims arising from or related to these Terms or your use of the Services shall not exceed the greater of:

One Hundred Dollars ($100), OR
The actual amount you paid Aiydyn in the 12 months immediately preceding the claim

This limitation applies regardless of the form of action (contract, tort, negligence, strict liability, or otherwise) and even if any remedy provided herein fails of its essential purpose.

7.5 Local Law Limitations

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages. To the extent such limitations are prohibited by local law, our liability in those jurisdictions shall be limited to the maximum extent permitted by applicable law.

8. SELLER TERMS AND RESPONSIBILITIES

8.1 Seller Requirements

By opening a seller account on Aiydyn, you agree to:

Comply with all applicable federal, state, and local laws and regulations
Comply with FDA cosmetic regulations, including product registration and listing requirements
Ensure all products are manufactured safely and tested for stability and contamination
Maintain accurate and truthful product descriptions
Clearly disclose all ingredients in required formats
Obtain and maintain certifications claimed (organic, natural, cruelty-free, etc.)
Provide accurate contact information and maintain responsive customer service
Process refunds and handle customer disputes in accordance with our policies
Not engage in fraud, misrepresentation, or deceptive practices
Accept responsibility for shipping, delivery, and product condition

8.2 Product Listing Requirements

All product listings must include:

Complete and accurate ingredient lists
Clear product descriptions detailing intended use
Any applicable warnings or precautions
Shelf life or expiration information
Proof of certifications claimed (upon Company request)
High-quality images showing actual products
Information about manufacturing location
Storage instructions and handling information
Batch/lot information if applicable

Listings may NOT include:

Medical claims or claims to diagnose, treat, cure, mitigate, prevent, or manage diseases
Unsubstantiated efficacy claims
False or misleading certifications
Intellectual property violations
Offensive or hateful content

8.3 Organic Certification Requirements

Products labeled as “organic” must:

Comply with USDA National Organic Program (NOP) standards
Include proof of USDA-accredited certifying agent certification
Clearly state the percentage of organic ingredients (100% organic, organic, made with organic ingredients)
Display certifying agent name and seal if required
Not make medicinal or therapeutic claims
Comply with both FDA cosmetic regulations and USDA organic standards

Note: USDA organic certification does not guarantee FDA safety approval or indicate that a product is safer than conventional alternatives.

8.4 Seller Indemnification

You agree to indemnify, defend, and hold harmless Aiydyn, its officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from:

Your violation of these Terms or applicable laws
Products you sell that cause injury, allergic reactions, or other harm
Intellectual property infringement related to your products
Your breach of representations and warranties
Any dispute between you and a buyer
False or misleading product claims
Product defects or safety issues

8.5 Seller Commissions and Fees

Aiydyn charges a commission fee on all sales (see current fee schedule on platform). By listing products, you authorize automatic deduction of commission fees from your sales proceeds. The Company is not responsible for withholding or remitting taxes on seller income.

8.6 Suspension and Termination

Aiydyn may suspend or permanently terminate your seller account if:

You violate these Terms or any Company policy
We receive substantive complaints of product defects or safety issues
Your products cause injury or allergic reactions to customers
You make false claims about certifications or product safety
We receive reports of counterfeit or infringing products
You list prohibited items
You engage in fraud or misrepresentation
You fail to respond to customer service inquiries

Sellers are responsible for transferring or fulfilling outstanding orders prior to termination. The Company is not liable for any business losses resulting from account termination.

9. BUYER TERMS AND RESPONSIBILITIES

9.1 Purchase Agreement

By purchasing a product on Aiydyn, you enter into a direct contract with the seller. Aiydyn facilitates the transaction but is not a party to the sale. The seller is responsible for product quality, accuracy of description, and fulfillment.

9.2 Product Responsibility

By purchasing and using products on Aiydyn, you:

Accept full responsibility for determining product suitability for your skin type and needs
Acknowledge that you have reviewed all ingredient lists and product warnings
Assume all risks associated with product use
Release the seller and Aiydyn from liability for allergic reactions or adverse effects
Agree not to hold the seller or Aiydyn responsible for results that vary from expectations

9.3 Buyer Due Diligence

Before purchasing, you should:

Read all product descriptions, ingredients, and warnings carefully
Contact the seller with any questions about product suitability
Disclose any known allergies to the seller
Research the seller’s reputation and reviews
Perform patch tests on a small area before full application
Consult a healthcare provider if you have medical conditions or are pregnant/nursing

10. RETURNS, REFUNDS, AND DISPUTE RESOLUTION

10.1 Return and Refund Policy Overview

Aiydyn returns and refund policies are governed by individual seller policies, subject to minimum Company standards. Sellers must provide clear return policies before purchase.

10.2 Minimum Company Return Standards

All sellers must allow returns and refunds for:

Items significantly different from description (wrong color, size, ingredient, etc.)
Damaged or defective products upon receipt
Non-delivery of orders
Items not meeting stated specifications

10.3 Non-Returnable Items

The following items typically cannot be returned:

Opened, used, or partially consumed products
Items returned without a return authorization
Products that accurately match the description but don’t meet buyer expectations
Items returned more than 30 days after receipt (unless stated otherwise by seller)

10.4 Return Process

To initiate a return:

Contact the seller directly within the specified timeframe (typically 30 days)
Describe the issue and include photos if applicable
Obtain a return authorization from the seller
Return items with proper packaging (buyer typically pays return shipping unless seller-liable)
Seller will process refunds upon receipt and verification

10.5 Refund Timelines

Sellers must process refunds within:

30 days of issue initiation for refunds
30 days of return receipt for returns
Longer timelines may apply if seller policy states otherwise

10.6 Payment Disputes and Chargebacks

If you file a chargeback or dispute through your payment provider without first contacting the seller, Aiydyn may:

Require you to work through our dispute resolution process instead
Suspend your account
Terminate your account for abuse of chargeback privileges

10.7 Dispute Resolution Process

For disputes not resolved directly with sellers:

Initial Contact: Contact the seller in writing describing the issue
Seller Response: Seller has 5 business days to respond
Company Mediation: If unresolved, submit to Aiydyn dispute resolution
Investigation: Company will review evidence from both parties
Resolution: Company will determine appropriate remedy (refund, replacement, or denial)

The Company’s dispute determination is final and binding.

10.8 No Guarantee of Resolution

Aiydyn does not guarantee resolution in your favor. Disputes involving product quality, safety, or performance may be resolved against you if:

The product matches the seller’s description
The seller provided adequate warnings and ingredient information
You failed to perform due diligence before purchase

11. PAYMENT AND TRANSACTIONS

11.1 Payment Processing

Aiydyn uses third-party payment processors to handle all transactions. By making a purchase, you authorize the Company and our payment processors to charge your selected payment method for the purchase price, shipping costs, applicable taxes, and any other fees.

11.2 Payment Security

We use industry-standard encryption to protect payment information. However, we are not responsible for unauthorized access or security breaches caused by third-party payment processors or your own negligence in protecting your payment information.

11.3 Pricing and Taxes

Sellers set product prices. The Company is not responsible for pricing errors. All sales are subject to applicable sales taxes based on your location. The Company or seller may correct pricing errors before processing payment.

11.4 Billing

You authorize recurring charges for subscriptions or memberships if applicable. You can cancel at any time through your account settings. Cancellations are effective at the end of the current billing cycle.

11.5 Payment Fraud

If we detect fraudulent payment activity on your Account, we may:

Suspend your Account
Cancel orders
Refund disputed charges to your payment provider
Pursue legal remedies

You agree to cooperate with fraud investigations and provide requested information.

12. SHIPPING AND DELIVERY

12.1 Seller Responsibility

Individual sellers are responsible for:

Determining shipping methods and costs
Packaging products securely to prevent damage
Providing tracking information
Complying with shipping regulations for cosmetic products
Insuring shipments against loss or damage

12.2 Delivery Times

Estimated delivery times are provided by sellers and are non-binding. Aiydyn is not responsible for shipping delays caused by carriers, weather, natural disasters, or other circumstances beyond seller control.

12.3 International Shipping

Some sellers may ship internationally. International buyers should be aware of:

Potential delays at customs
Import duties and taxes assessed by destination countries
Restrictions on cosmetic products in certain countries
Seller’s international return policies

13. PRIVACY AND DATA PROTECTION

These Terms, together with our Privacy Policy, Return and Refund Policy, Prohibited Items Policy, and Seller Agreement, constitute the entire agreement between you and Aiydyn regarding the Services and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions will remain in full force and effect.

16.4 Waiver

The failure of Aiydyn to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.

16.5 Assignment

You may not assign, transfer, or sublicense these Terms or your rights and obligations hereunder without the prior written consent of Aiydyn. Aiydyn may assign these Terms without restriction.

16.6 Governing Law and Jurisdiction
